1. Scope of Service
Ratan Systems ("Company", "We", "Us") specializes in building custom digital storefronts, zero-commission booking engines, and offline-ready management tools for independent clinics, polyclinics, and small hospitals in Assam. Our core service includes a custom-coded informational website with an integrated patient booking form that connects directly to the clinic's WhatsApp or our secure admin dashboard.
Optional upgrades: Full offline Hospital Management Systems (HMS) and OPD workflow tools are available as separate, quoted projects and are not covered under the standard website booking agreement unless explicitly stated in your invoice.
2. Pricing & Annual Maintenance Contract (AMC)
Ratan Systems operates on a tiered pricing model based on the clinic's operational needs. The specific tier will be detailed in the final invoice/proposal provided to the client. Each tier includes a one-time Setup Fee and an Annual Maintenance Contract (AMC).
Tier 1: Clinic Starter
- Setup Fee: ₹10,000
- Annual (AMC): ₹5,000/year
- Included: Professional mobile-first website, direct WhatsApp booking pre-fill, and basic Google Business Profile setup.
Tier 2: OPD Pro
- Setup Fee: ₹18,000
- Annual (AMC): ₹12,000/year
- Included: Everything in Clinic Starter, plus Smart Patient Queue System, multi-doctor routing, and reception management panel.
Tier 3: Clinic Command
- Setup Fee: ₹30,000
- Annual (AMC): ₹25,000/year
- Included: Everything in OPD Pro, plus a full patient database, advanced admin dashboard, patient history tracking, and staff access controls.
Optional Growth Add-on: Local Visibility & Reputation Management
- Setup Fee: ₹5,000
- Monthly Management: From ₹2,000/month
- Included: Continuous Google Business Profile optimization, review generation strategies, weekly Google Posts, and monthly performance reporting.
The AMC covers the running costs and ongoing care of the digital platform. The yearly fee covers:
- Domain Renewal: Annual cost of the clinic's custom domain (if purchased through us).
- SSL Security: Automatic renewal of SSL certificates ensuring the "padlock" icon remains active.
- Cloud Hosting: Infrastructure fees to ensure 24/7 uptime.
- Minor Content Updates: Unlimited minor changes (e.g., changing a phone number, swapping a doctor's photo, updating clinic timings) throughout the year.
- Priority Maintenance: Technical support for website bugs or security patches.
⚠️ Scope Creep Policy: Major structural changes (e.g., adding a completely new page, changing the booking form logic, integrating a full HMS, or entirely redesigning the layout) are NOT covered under the AMC. These major feature requests will be quoted as separate projects at a discounted consulting rate for AMC clients.
3. Ownership & Intellectual Property
- Content Ownership: The clinic (Client) retains 100% ownership of all uploaded content (doctor profiles, logos, text, and photos) and all patient booking data collected via the website. Ratan Systems retains ownership of the underlying source code and backend architecture.
- Backend & Code IP: Ratan Systems retains full intellectual property rights to the source code, booking API architecture, custom backend, and the core technologies utilized to build and maintain the system.
- Non-Compete: The code is not for resale or redistribution by the clinic. The license is exclusive to the specific clinic for the duration of the service.
4. Delivery & Revisions
Once we receive the clinic's required assets (name, address, logos, doctor photos, and contact info), we deliver a live preview link within 24-48 hours. The applicable setup fee includes 2 rounds of revisions (minor text and layout adjustments). Any revisions beyond 2 rounds are subject to a ₹2,000 per session consulting fee.
5. Third-Party Services
Ratan Systems utilizes GitHub Pages, Cloudflare CDN, and secure cloud hosting providers for infrastructure and routing. While we maintain strict uptime monitoring, we are not liable for outages or downtime caused by these third-party infrastructure providers. AMC includes troubleshooting and migrating the site to restore service in the event of a third-party outage.
6. Jurisdiction
These terms shall be governed by the laws of India. Any disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the courts in Guwahati, Assam.
1. Custom Development Nature
Because we are building a fully custom-coded, tailored solution for your specific clinic (as opposed to a generic template), we do not offer refunds once development has begun and a live preview has been shared.
All custom development projects are non-refundable once the initial setup and preview have been delivered.
2. Exceptions
A full refund will only be issued if either of the following two conditions apply:
- Ratan Systems fails to deliver a live preview link within 48 hours of receiving both (a) the applicable setup fee, and (b) all required business assets from the clinic.
- There is a catastrophic technical error on the Ratan Systems backend that permanently prevents the site from loading, and the issue cannot be resolved within 7 calendar days of reporting.
Refunds are NOT issued if the clinic owner decides they no longer need the website, if they prefer to continue using a pharma-provided free template, or if the clinic goes out of business. Since we have already invested significant time and code architecture into the custom project, the sale is legally considered final upon the delivery of the preview link.
1. Data We Collect (From the Clinic)
To build the custom website, we require the following public clinic information:
- Clinic Name, Address, and Google Maps embed link.
- Names, qualifications, and photographs of the treating doctors.
- List of services offered (e.g., Cataract, Glaucoma, Retina, Dental, etc.).
- Contact Phone Number and Email Address.
2. Patient Booking Data (The Zero-Commission Engine)
Ratan Systems does NOT store, sell, or share patient data.
- When a patient submits a booking via the custom website, the data (Name, Phone, Date, and Reason) is transmitted directly to the clinic's WhatsApp or the secure Ratan Systems Admin Dashboard.
- Ratan Systems acts as the data pipeline (API). We do not retain patient health records or sensitive medical details in our public cloud infrastructure. The data belongs entirely to the clinic.
- All databases are securely hosted with strict access controls, ensuring complete privacy and compliance with medical data standards.
3. Data Retention
We retain the clinic's onboarding details and communication records for operational, tax, and compliance purposes. You may request to have your profile closed at any time; however, financial records and support chat logs may be retained as required by Indian law and for legitimate business record-keeping.
4. Public Nature
The informational pages of the custom website (doctor profiles, gallery, services, address) are designed to be publicly accessible on the internet to help patients find the clinic. Clinics should ensure they do not include private contact numbers or photos that they wish to keep off the public web.
5. Data Deletion & Contact
